Description
The course will deal with the basics of structuring acquisitions, including mergers, stock acquisitions and asset acquisitions. It will cover the basics of securities regulation in the context of mergers and acquisitions, as well as the basics of corporate laws in that context, and will focus on the roles of directors and shareholders in the corporate governance processes for such transactions. Finally, the course textbook will be supplemented with discussion materials relating to the practical side of doing deals. Delaware law as well as Texas law will be emphasized throughout the course.Instructors
