Description
This is a four-unit version of the basic introductory and survey course in the business organization area that focuses entirely on corporation law. Exclusive emphasis is placed on conducting business in a corporate form. The course emphasizes the formation, financing, operation and control of corporations. It examines both closely-held corporations and publicly-held corporations. Issues of federal law discussed in connection with the publicly-held corporation include the registration of new issues of securities, exemption from the requirements of registration, proxy regulation and the regulation of insider trading. A student may not receive credit for both Corporations and Business Associations or Business Associations (Enriched).Instructors
