Description
This course will take a student through a typical private equity transaction, with a focus on the valuation of the investment and negotiation of the deal terms (embodied in a letter of intent) and the definitive agreement. The course will emphasize an active dialogue among students regarding a private equity case study, including defining valuation metrics, discussing the importance of defining key risks and rewards associated with a particular transaction and discussing and negotiating key deal points. The goal is to provide a student with an overview of private equity investing, with an emphasis on the lawyer's role in the negotiation of a private equity transaction and also provide an understanding of career opportunities both as a lawyer and as a principal at a private equity firm.Textbooks ( * denotes required )
