Description
This course offers an introduction to the basic legal rules and principles governing the relations among managers, shareholders, and creditors in the business enterprise. We will emphasize public corporations, Delaware corporation law, an ex ante, "planning" perspective (how can business planners achieve their objectives within the constraints set by law), and an overall "law-and-economics" approach to the study of what are, after all, economic institutions. The principal differences from the course offered by Professor Dammann will be more emphasis on what some students have called a "corporate finance" approach to the subject, and an effort to examine how the doctrine plays out in practice, at the expense of less intensive study of doctrine. Students who prefer a course that focuses more heavily on partnerships, limited liability companies, private corporations, and the Texas Model Business Corporation Act should consider the regular Business Associations course, which will be offered in the spring by Prof. Sokolow.
