Description

This seminar will examine current issues in the law -- domestic, foreign and international -- relating to international investment transactions. We will begin with an overview of the role of transnational law and transnational lawyers in investment transactions. We will then focus on specific problems involving investment activities, including foreign direct investment, international mergers and acquisitions, international joint ventures, concession agreements, and international debt instruments. The basic text for this seminar is Vagts, Dodge and Koh, Transnational Business Problems (4th ed. 2008). In addition, students will read an array of secondary source materials relating to current issues in international investment law. This is a writing seminar. During the first three weeks, students will be required to complete three short papers based on the weekly reading assignments. Thereafter, students will prepare a longer research paper on a specific legal issue relating to international investment. There are no prerequisites.
