Description
The course will deal with the basics of structuring acquisitions, including mergers, stock acquisitions and asset acquisitions. It will cover the basics of securities regulation in the context of mergers and acquisitions, as well as the basics of corporate laws in that context, and will focus on the roles of directors and shareholders in the corporate governance processes for such transactions. Finally, the course textbook will be supplemented with discussion materials relating to the practical side of doing deals. Delaware law as well as Texas law will be emphasized throughout the course. FOR JD STUDENTS: PREREQUISITE: Business Associations or Corporations. FOR LLM STUDENTS: This course will assume a basic understanding of the corporate form of business such as would be obtained in a typical U.S. law school course on corporations or business associations. Similar courses taught in foreign law schools may be helpful in these regards, but may not be a complete substitute for necessary background for this course.
