Description

This is the enriched (five unit) version of the basic introductory and survey course in the corporations/business organizations area. It considers issues relating to the selection of business form (i.e., partnership, limited partnership, corporation, and limited liability partnership), as well as the formation, financing, operation, and control of business organizations. Primary emphasis is placed on conducting business in the corporate form. The course examines both closely held corporations and publicly held corporations. Issues discussed in connection with the publicly held corporation may include the registration of new issues of securities, proxy regulation, and shareholder lawsuits. Other topics discussed include the fiduciary duties of directors and officers and topics in corporate governance generally. The modern law of business associations considered in this course involves a mix of common law principles, state and federal statutes, and Securities and Exchange Commission rules. This enriched, five-unit version of Business Associations will explore certain issues in greater depth and cover certain corporate governance and other issues that are not dealt with in Corporations or in the four-unit version of Business Associations. It also has a greater focus on publicly-held corporations and modern corporate and capital market developments. Some key trends in modern corporate governance are covered in Business Associations (Enriched) but are not covered in either Business Associations or Corporations. This enriched course does not require any prior background in of business-related matters or any business-related undergraduate coursework. At the same time, students who either have or think they might want to develop a real interest in the transactional, litigation, or regulatory aspects of the corporate world and financial markets of today may find the enhanced coverage appealing. This enriched course does not require any prior background in business- related matters or any business-related undergraduate coursework. A student may not receive credit for both Corporations and Business Associations or Business Associations (Enriched).
