Description

This is the basic introductory and survey course in the business organizations area. It considers issues relating to the selection of business form (partnership, limited partnership, corporation, and limited liability company), as well as the formation, financing, operation, and control of business organizations. Primary emphasis is placed on conducting business in the corporate form. The course examines both closely-held corporations and publicly- held corporations. Issues of state and federal law discussed in connection with the publicly-held corporation include the registration of new issues of securities, proxy regulation, and the maintenance and prosecution of derivative litigation. The subject of Corporate Governance will be examined in light of recent developments at Enron and other public companies. Problems are utilized throughout the course to focus attention on the practical application of the statutes and common law principles covered in the course. A student may not receive credit for both Corporations and Business Associations or Business Associations (Enriched).
