Description

This course is an enriched version of the general business associations class that I have been teaching in prior years. It contains all of the materials covered in the general business associations class. That is, it provides an introduction to the legal rules and principles, as well as some of the economic factors, that pattern the conduct of productive enterprise in the U.S. The principal focus will be upon the large, publicly traded corporation that dominates much of the U.S. business environment - in particular, its financing, its control, and the potentially conflicting interests that the firm must mediate. Legal topics to be covered accordingly include shareholder and executive compensation, basic fiduciary obligations, shareholder voting rights, derivative suits, corporate reorganization and control transactions. We shall also devote some attention to partnerships, closely held corporations and other business forms. This course also covers material not included in the general business associations class. In particular, we will cover the basic principles of corporate finance. No background in business or finance is required or expected. However, you should have an open mind. Please be aware that the material in this course cannot be mastered by reading and listening alone. Rather, you will be expected to solve numerous practice problems, and while your grade will not depend on the quality of your answers, students who have neglected to do the relevant practice questions have typically done very badly on the final exam. A student may not receive credit for both Corporations and Business Associations or Business Associations (Enriched).
