Description
Transactional Practice Skills introduces students to the skills lawyers—and in particular, junior lawyers—need in transactional practice. Through in-class exercises, lectures, guest speakers, discussions, and presentations, as well as out-of-class projects and opportunities to meet and engage with transactional lawyers practicing in Austin, students will gain an understanding of the deal terms of business transactions and how lawyers translate those terms into transaction agreement provisions. By simulating for students the experience of a junior lawyer working on a business transaction, the course will teach students how to prepare for, organize, and conduct a due diligence review of contracts and corporate records, how to communicate effectively the findings of a due diligence review, and how to draft and revise transaction agreement provisions based on those findings.
