The role of in-house counsel has evolved substantially over the last thirty years, as the business environment has become more complex. During this period, corporations have invested in larger and more sophisticated in-house legal teams and expected in-house lawyers to “add value” and adopt common business management practices; legislators and regulators have heightened their expectations for in-house practitioners. This course will explore the evolution of in-house practice, areas of practice that are of particular interest to in-house lawyers, skills and attributes important to success in in-house practice, and the special role of the general counsel in American corporations. In addition to the readings (many of which will be articles from the trade press) and related discussion, the class will include regular practical exercises.
