Description

This course introduces the law of contracts and the commercial and consumer contexts in which it operates. Students will examine why contracts are enforced, how they are formed; how their terms are interpreted; what legal limits apply to making and performing them; what counts as proper performance; how the law responds to breach of contract; and how contracts can affect persons who are not parties to them. The course also develops skills in legal reasoning and statutory interpretation, with particular attention to the Uniform Commercial Code. It provides the foundation for advanced study in commercial transactions, corporations, restitution, consumer credit, and investment securities.
